AGREEMENT FOR DISPATCH SERVICES
1. Recitals
This Agreement is made as of [date], by and between UNA LOGISTICS and [contact name] of [company name], hereinafter referred to as "Client."
Whereas, Client is a Carrier/Owner-Operator desiring to retain UNA LOGISTICS to provide dispatch services.
Whereas, UNA LOGISTICS is a transportation dispatcher handling the necessary paperwork between shippers and the Client.
The Client must, prior to the implementation of this Agreement, furnish UNA LOGISTICS with the following:
- A clear copy of Client's Certificate of Authority
- Proof of insurance, Certificate of Insurance (COI)
- A signed W-9
- This agreement form, completed, signed, and dated
- Notice of Assignment from factoring company (NOA), if applicable
2. Statement of Work
UNA LOGISTICS will:
- Book loads on Carrier's behalf.
- Send rate confirmations to Carrier by 6 pm.
- Find freight that best matches the Carrier profile.
- Upon Client agreeing to the load, fax/send to shipper/broker the Client's Certificate of Authority, W-9, Certificate of Insurance, and other required supporting documents.
- Handle setting of appointments, if necessary.
- Prepare directions to shipper/consignee, if necessary.
- Provide access to our rates and shippers depending on the location of the truck.
- Assist with any problems that arise during transit of the load, when necessary, within our capabilities. Carrier is responsible for its own equipment — we may be able to direct you to a service that could help.
- Make all load information available to the Carrier at all times. UNA LOGISTICS will hold the dispatch and accessorial information until the load is completed.
- Upon forwarding the final load confirmation, Bill of Lading, and any other required documents for the current load to the Client, UNA LOGISTICS has fully performed its services.
- Book and communicate load information to the driver between 8am and 7pm (PST), Monday through Friday. Carrier will reach out to the broker directly for any issues regarding the load after 7pm.
Obligations of Dispatcher
- Dispatcher agrees to handle paperwork, phone, and fax to and from the Broker or Shipper to tender commodities or shipments to Carrier for transportation in interstate commerce by Carrier, between points and places within the scope of Carrier's operating authority.
- Dispatcher bears no financial or legal responsibility in the transaction between the Shipper and Client.
- Dispatcher will make 100% effort to keep Carrier's truck(s) loaded. Carrier will be contacted about every load found or offered, and the driver will accept or reject the load — Carrier/driver cannot cancel a load once it's booked. Dispatcher will invoice Carrier at the time of service and provide a copy of each load confirmation sheet Carrier is being billed for.
Obligations of the Carrier
- Carrier gives UNA LOGISTICS authority to provide its signature for rate confirmation sheets, invoices, and associated paperwork necessary for securing cargo and billing purposes.
- Carrier agrees to collect payment from Shipper promptly, following receipt of a freight bill and Proof of Delivery (POD) of each shipment to its assigned destination, free of damage and shortage. The amount to be paid by Shipper to Carrier shall be established between the parties on a per-shipment basis prior to commencement of each shipment. A load confirmation detailing the rate and shipment details will be supplied electronically by Shipper to Client. Confirmation will be signed by UNA Logistics and returned to Shipper via electronic methods.
- Carrier agrees to text UNA LOGISTICS when they arrive at the shipper.
- Carrier agrees to text UNA LOGISTICS once loaded.
- Carrier agrees to text UNA LOGISTICS when they arrive at the receiver.
- Carrier agrees to text UNA LOGISTICS once unloaded.
- In the event of a breakdown, Carrier is responsible for contacting roadside assistance. We highly recommend signing up with a roadside company and issuing that contact information to your drivers. Carrier is responsible for any repairs needed.
- Neither Carrier nor driver is allowed to cancel a load once it is booked.
- Carrier is responsible for obtaining all permits.
3. Considerations
A service fee, calculated as a percentage of the gross amount per load, is required to be paid to UNA LOGISTICS, as per the conditions of this Agreement. The applicable percentage is set forth separately in Carrier's Service Fee Schedule / Rate Confirmation and is not established by this Agreement. UNA LOGISTICS will invoice the Carrier per the terms of that Schedule via QuickBooks or another invoicing service.
- Payments can be made to UNA LOGISTICS via QuickBooks, PayPal, Apple Pay, or Payoneer — Venmo and Cash App are NOT accepted.
- Once payment is processed, the Carrier will send a confirmation receipt via email.
4. Additional Provisions
Once a load has been set up for the Client and all information has been given, it is the Carrier's responsibility to handle directly with the shipping party any problems, issues, delays, overages, shortages, damages, or billing/collections issues, unless arrangements have been made for additional services from UNA LOGISTICS.
In no event will UNA LOGISTICS be liable for any incidental, consequential, or indirect damages, including loss of profits or business interruption, arising out of use of the service.
We do not guarantee a minimum gross amount for trucks under our dispatch service, but our weekly gross quota target is $5,000. Each truck may earn more depending on how hard the driver is willing to work.
Professional courtesy is expected. There is no contract requiring the Client to work with UNA LOGISTICS for any particular length of time, and there are no deposits — this document simply states the expectations of businesses working together. Either party can respectfully decide on other options as they see fit for their business. Signing this document confirms the Client agrees to pay, on time, for loads dispatched.
Commercial vehicles must be loaded in a manner that prevents cargo from leaking, spilling, blowing, or falling from the vehicle. Cargo must be immobilized or secured to prevent shifting that would affect vehicle stability or maneuverability. All structures, systems, parts, and components used to secure cargo must be in proper working order, with no damage or weakened components that would adversely affect performance. Cargo must be firmly immobilized or secured within the vehicle by structures of adequate strength — dunnage, dunnage bags, shoring bags, tie-downs, or a combination of these. Articles likely to roll must be restrained by chocks, wedges, a cradle, or equivalent means. Federal regulations provide specific means for securing logs, building products, metal coils, paper rolls, concrete pipe, intermodal containers, automobiles, heavy equipment, crushed vehicles, and boulders. Cargo must be secured so that when a vehicle decelerates at a rate of 20 feet per second, the cargo remains on the vehicle and does not penetrate the vehicle's front-end structure. A load or component extending more than 4 inches to the side or more than 4 feet beyond the rear must have its extremities marked with a red or orange fluorescent warning flag — one flag at the extreme rear if the projecting load is 2 feet wide or less; two flags, at the extreme width and length on each side, if wider than 2 feet.
Responsibilities for proper loading. A driver cannot operate a commercial vehicle unless the cargo is properly distributed and adequately secured, the means of fastening the cargo is secure, and the cargo does not obscure the driver's view or interfere with movement of the driver's arms or legs. The driver must confirm the load is adequately secured before driving, must examine the securing devices within the first 50 miles of a trip, and must re-examine cargo and securing devices at each change of duty status, after three hours of driving, or after 150 miles — whichever comes first. These inspection procedures do not apply to a sealed trailer the driver is ordered not to open, or to a trailer loaded in a manner that makes cargo inspection impracticable.
If a member of the public is injured because of improperly loaded cargo, both the shipper who loaded the cargo and the Client may be held liable. A shipper that assumes responsibility for loading a vehicle can be held liable for improperly securing a load under a common-law theory of negligence, and federal regulations provide evidence of the proper standard of care for the shipper. When the driver is injured, the shipper is not liable for improper loading unless the defect is latent, concealed, and not discernible by ordinary observation. Whether a loading defect is "patent" and should have been discovered by the driver depends on the driver's experience and any assurances given by the shipper's employees that the load had no defect. A motor carrier cannot be held liable for improperly loading a sealed trailer, since the driver has no opportunity to inspect the load. When a person is injured during loading or unloading at the shipper's or consignee's facility, the trucking company's liability is determined by the rules applicable to the facility owner, and the company is subject to the same liability, or freedom from liability, as that owner.
5. Disclaimer
UNA LOGISTICS is not responsible for:
- Billing issues
- Loading problems
- Advances (all advances must be handled directly between Client and shipper/broker)
- Handling and storage of paperwork (all documents will be sent to Client unless other arrangements are made)
- DOT compliance issues
- Spike insurance
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice-of-law or conflict-of-laws provision or rule (whether of the State of California or any other jurisdiction) that would cause application of the laws of any jurisdiction other than California.
7. Jurisdiction and Venue
UNA LOGISTICS and the Client consent to and agree to submit to the jurisdiction of the federal and state courts located in California in connection with any claims or controversies arising out of this Agreement.
